These Terms of Service govern your access to and use of the Mersaly platform (mersaly.app). Mersaly is a business messaging platform that operates through the official WhatsApp Business API.
To use Mersaly, you must be at least 18 years old. You agree to provide accurate and up-to-date information during registration and to maintain the security and confidentiality of your account credentials. You are solely responsible for all activities conducted through your account.
You must obtain clear and explicit user consent before sending any messages through the platform. Consent must be actively provided by the user, and the use of pre-checked boxes or implied consent is strictly prohibited. Your business name, the type of messages to be sent, and the expected messaging frequency must be clearly disclosed at the time of consent collection. In addition, every message sent must include a clear and functional opt-out or unsubscribe option.
The following activities and content are strictly prohibited on Mersaly: spam, deceptive or misleading content, illegal products or services, hate speech, adult or sexually explicit content, weapons or drugs, counterfeit goods, unauthorized sharing of personal information, fraud, phishing attempts, and any form of copyright or intellectual property infringement.
Mersaly provides a suite of tools and services for managing WhatsApp business communications, including but not limited to: bulk and individual messaging, message template creation and Meta approval support, campaign management, shared team inbox functionality, visual automation workflows, contact management, and API access.
Mersaly aims to maintain a service uptime of 99.9%. Any scheduled maintenance that may affect service availability will be communicated at least 24 hours in advance. However, outages, interruptions, or performance issues related to the WhatsApp Business API or other third-party providers are beyond Mersaly’s control and are not the responsibility of Mersaly.
Subscription fees are charged based on the selected pricing plan. WhatsApp messaging fees are charged directly by Meta and are the sole responsibility of the user. Invoices for the Mersaly subscription are issued on a monthly basis, and failure to pay outstanding invoices may result in temporary suspension or restriction of access to the platform. Any changes to pricing or subscription fees will be communicated at least 30 days in advance.
All rights, title, and interest in the Mersaly platform, including its source code, software, design, trademarks, branding, and all related intellectual property, are owned by Mersaly. Any content, messages, or data transmitted through the platform remain the property and responsibility of the customer.
Mersaly shall not be responsible or liable for any content sent, created, or transmitted by users through the platform. To the maximum extent permitted by law, Mersaly shall not be liable for any indirect, incidental, consequential, or special damages arising out of or related to the use of the service. In all cases, Mersaly’s total aggregate liability shall be limited to the total subscription fees paid by the user in the twelve (12) months preceding the claim.
Mersaly reserves the right to suspend or restrict access to any account in cases of violation of these Terms, violation of WhatsApp policies, engagement in illegal activities, unpaid invoices exceeding thirty (30) days, restrictions or blocks imposed by Meta, or any security risks or threats to the platform. Upon termination of an account, all associated data may be permanently deleted within thirty (30) days, unless otherwise required by law.
These Terms shall be governed by and interpreted in accordance with the laws of the Arab Republic of Egypt. In the event of any dispute arising out of or relating to these Terms or the use of the Mersaly platform, the parties shall first attempt to resolve the matter through good-faith negotiations and mediation. If a resolution cannot be reached, the dispute shall be subject to the exclusive jurisdiction of the courts of Cairo, Egypt.
Mersaly reserves the right to update or modify these Terms of Service at any time. Users will be notified of any material changes at least thirty (30) days in advance via email. Continued use of the platform after the effective date of the updated Terms constitutes acceptance of the revised Terms.
